Founders apply with a structured deal memo and a tokenomics breakdown; the platform's risk engine fingerprints the team's GitHub cadence, treasury composition, and social signal against historical comparables. Member-investors stake $INTR to weigh in, deliberate on a Discourse-style proposal thread, and cast quadratic votes through Snapshot. Approved deals release treasury USDC from a Gnosis multisig in milestone-gated tranches, each unlocked only when the founder posts proof-of-progress on-chain. Quarterly distributions and exit pro-rata are handled by a vesting-aware Solidity contract on Polygon.

    The Challenge

    Designing an investment syndicate on-chain meant solving a stack of regulatory, governance, and treasury problems that off-chain VCs paper over with paperwork.


    • Reg D / Reg CF exposure: Even tokenised participation pulls US-resident investors into accreditation rules; the onboarding flow had to walk people through Reg D 506(c) attestation or Reg CF caps without scaring them off.
    • Quadratic vote manipulation: Naive token-weighted votes hand the syndicate to the largest holder; quadratic weighting needed Sybil-resistance to stop wallet-splitting attacks.
    • Milestone-gated treasury releases: Founders needed predictable runway, but the DAO needed a brake; releases had to depend on on-chain proof-of-progress signed by an external oracle.
    • Vesting cliffs across exits: Carry distribution on a successful exit had to honour each member's vesting cliff and lockup schedule without manual reconciliation.
    • Risk-scoring without leaking founder data: The diligence engine needed to surface red flags to voters without exposing the founder's full Cap Table or revenue history publicly.

    Our Solution

    We architected Intrepid as a Gnosis-multisig treasury fronted by Snapshot governance and a Polygon-based vesting contract, with a Node.js diligence service layered on top.


    • Accreditation gate: KYC and Reg D 506(c) accreditation handled via Parallel Markets; non-accredited applicants are routed to a Reg CF lane with statutory caps enforced on-chain.
    • Sybil-resistant quadratic voting: Snapshot proposals weigh votes as the square root of $INTR staked, with Gitcoin Passport scoring used to slash duplicate-wallet attempts.
    • Milestone tranche releases: Treasury USDC sits in a Gnosis Safe; each release tranche is conditional on a milestone hash signed by a Chainlink-backed oracle attesting to founder-posted proof.
    • Vesting-aware carry contract: A Solidity vesting contract distributes exit proceeds pro-rata after applying each member's cliff and unlock schedule - no spreadsheet, no signature party.
    • Founder-friendly diligence engine: A Node.js scorer pulls GitHub commit cadence, treasury composition (via Etherscan), and aggregated social signal into a public scorecard, while raw cap-table data stays in an encrypted founder vault accessible only on signed-NDA reveal.
    • Discourse-on-IPFS deliberation: Proposal threads are pinned to IPFS so the deliberation record outlives any centralised forum.

    The Results

    Across the first four investment cycles Intrepid funded a small portfolio with on-chain transparency that nobody on the cap table had to take on faith.


    • $2.1M USDC deployed across 9 startup tranches in the first two quarters, all milestone-gated.
    • Quadratic + Sybil-resistance held: largest holder cast 4.2 % of effective vote weight despite owning 18 % of $INTR supply.
    • Tranche release oracle averaged 41 hours from milestone post to USDC release, with zero disputed releases in the first year.
    • 97 % of active token holders cast a vote on at least one proposal per quarter, well above the 30 % DAO median.
    • Onboarding completion rate post accreditation flow: 64 %, up from a baseline of 22 % in the initial Reg D-only build.
    • First exit distribution settled on-chain in under 6 minutes with vesting cliffs honoured automatically across 41 members.
